Southern Insiders Sold US$7.6m Of Shares Suggesting Hesitancy

Published
NYSE:SO

The fact that multiple The Southern Company (NYSE:SO) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Southern

In the last twelve months, the biggest single sale by an insider was when the CEO, President & Chairman of Southern Company Gas, James Kerr, sold US$2.7m worth of shares at a price of US$89.64 per share. That means that an insider was selling shares at around the current price of US$87.52. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Over the last three months, we've seen significant insider selling at Southern. In total, insiders sold US$3.3m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.

Insider Ownership Of Southern

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Southern insiders own about US$171m worth of shares (which is 0.2% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
