Swvl Holdings (NASDAQ:SWVL) announced operations in 5 of its 10 top countries by revenue in August 2022. The countries that turned Adjusted EBITDA positive or breakeven were Egypt, Turkey, Germany, Kenya, and Jordan. These countries generated 58% of the company's 1H22. revenue and represent the entirety of the company’s African operations and a majority of its European and Middle Eastern operations. "We continue to focus on maintaining rapid growth while improving profitability. Over the past few months, we managed to grow revenues 3.4x year-on-year and 1.3x quarter-over-quarter in Q2 2022 while now achieving Adjusted EBITDA breakeven across all of Africa and most of Europe and the Middle East. With 58% of our portfolio turning Adjusted EBITDA neutral or positive, we believe that we are on track to turn cashflow positive in 2023. The countries achieving Adjusted EBITDA profitability include 3 of our organic markets and 2 markets we entered as a result of our recent acquisitions. We believe that the profitability of both the direct to consumer and enterprise segments in these countries demonstrates our ability to continue to grow, enhance margins and realize synergies across Swvl’s full organic and inorganic portfolio.” said Youssef Salem, Swvl CFO Shares are trading up 7.14% premarket.

Swvl to raise $20M in stock and warrants offering

Swvl (NASDAQ:SWVL) entered into a definitive agreement with a single U.S. institutional investor for the purchase and sale of 12.1M of its shares together with series A warrants and series B warrants at a combined purchase price of $1.65/share leading to total gross proceeds of ~$20M. The series A warrants may purchase up to 12.1M shares and series B warrants may purchase up to 6.07M shares; series A warrants and series B warrants will each have an exercise price of $1.65/share and will be exercisable immediately on issuance and will expire five and two years from issuance date respectively. If all warrants have been exercised, the company will receive an additional $30M in gross proceeds. Private placement is expected to occur on or about Aug.12.

Swvl agrees to acquire Urbvan Mobility

Swvl (NASDAQ:SWVL) to acquire Mexico-based Urbvan Mobility, or Urbvan, a shared mobility platform that provides tech-enabled transportation services to Latin America's second largest country by population. The company operates in 18 cities across Mexico with solutions for urban routes, intercity routes, for private organizations and for private on-demand needs. The addition boosts Swvl's revenues from highest profitability operations TaaS and SaaS to >$7M revenue per month from >500 contracts in >20 countries in alignment with Swvl's portfolio optimization program to turn cash flow positive in 2023. The move expands footprint in Latin America beyond current operations in Argentina, Chile, and Brazil and complements Swvl's strong position in Africa, Asia, and Europe. The deal brings demonstrated history of growth with 138% revenue CAGR from 2017-21, continuing to grow through COVID-19. The transaction is expected to be completed in Q3.

SPAC Queen's Gambit Growth Capital and Swvl have completed their merger valued at approximately $1.5 billion in enterprise value. Swvl operates a smart bus transportation network in numerous cities and regions around the world. SWVL has made a number of acquisition announcements but is now cutting headcount and optimizing its operations. I'm on Hold for SWVL until we see credible evidence of its optimization efforts.
