Globe Fintech Innovations, Inc. completed the acquisition of Electronic Commerce Philippines Inc. from Globe Telecom, Inc. (PSE:GLO) and Payment One, Inc. Globe Fintech Innovations, Inc. agreed to acquire Electronic Commerce Philippines Inc. from Globe Telecom, Inc. (PSE:GLO) and Payment One, Inc. on September 28, 2023. Globe Fintech Innovations, Inc. will pay PHP 2.31 billion to Globe Telecom, Inc for it's 77% stake in Electronic Commerce Philippines Inc. The deal is currently undergoing thorough reviews. Completion is expected upon receipt of approvals from the relevant regulatory bodies and satisfaction of closing conditions. As of May 14, 2025 Philippine Competition Commission has given approval for this transaction. The transaction is subject to strict compliance by ECPay and Mynt of their respective voluntary commitments. Completion is expected to occur upon receipt of approvals from other relevant regulatory bodies and satisfaction of closing conditions.

The board of directors approved the appointment during an organizational meeting following the annual stockholders’ meeting on April 22, 2025. Cruz is bringing with him his 30 years of experience in the fast-moving consumer goods industry, specifically in general management and marketing. Unity Digital Infrastructure, Inc. completed the acquisition of 447 telecommunications towers from Globe Telecom, Inc. (PSE:GLO). Unity Digital Infrastructure, Inc. signed an Asset Sale and Purchase Agreement to acquire 447 telecommunications towers from Globe Telecom, Inc. (PSE:GLO) for PHP 5.4 billion on May 7, 2023. As of July 17, 2023, 115 towers were sold for PHP 1.4 billion to Unity Digital, marking the first tranche of the transaction. As of August 31, 2023, another 55 towers were sold to Unity for a cash consideration of PHP 660 million. As on December 18, 2023, 79 towers were sold to Unity for a cash consideration of approximately PHP 950 million. Closing of remaining towers and collection of gross proceeds targeted to come in within first half of 2024. As of March 25, 2024, Globe achieved the fourth closing of another 33 towers for approximately PHP 400 million. On October 28, 2024, Globe achieved the fifth closing of 25 towers for approximately PHP 300 million. Cumulatively, Globe has closed 307 out of 447 towers to be acquired by Unity. On December 19, 2024, 19 towers were sold to Unity for approximately PHP 230 million. Cumulatively, Globe has closed 326 out of 447 towers to be acquired by Unity.

NCS Pte. Ltd. agreed to acquire an unknown minority stake in Yondu, Inc. from Globe Telecom, Inc. (PSE:GLO). NCS Pte. Ltd. agreed to acquire an unknown minority stake in Yondu, Inc. from Globe Telecom, Inc. (PSE:GLO) on March 26, 2025. The transaction will be done through both acquisition and subscription of new share of Yondu, Inc. for a total consideration of PHP 134 million. Upon completion, NCS Pte. Ltd. will hold 51% stake in Yondu, Inc. The transaction will be funded using cash and internal resources. The entity will be renamed NCS Philippines following the closing of the transaction.

Globe Telecom, Inc. Appoints Carl Raymond R. Cruz as Deputy Chief Executive Officer, Effective 1 January 2025 On October 22, 2024, Globe Telecom, Inc. announced the appointment of Mr. Carl Raymond R. Cruz as their Deputy Chief Executive Officer, with effect from 1 January 2025. Mr. Cruz has also been nominated as a member of their Board of Directors for election at their 2025 Annual Stockholders' Meeting (ASM), as well as President and Chief Executive Officer for election at the Organizational Meeting of their Board of Directors following their 2025 ASM. Mr. Cruz, 54, is a seasoned leader with over 30 years of experience in the fast-moving consumer goods (FMCG) industry, particularly in general management and marketing. Mr. Cruz is currently the CEO and Managing Director (MD) of Airtel Nigeria, one of the largest and most significant Airtel operations in Africa. Before this, Mr. Cruz was the Managing Director of Unilever West Africa and MD/CEO of Unilever Nigeria, where he led operations in Nigeria, Ghana, and Francophone Africa. Mr. Cruz's career at Unilever spanned 30 years across various countries, including the Philippines, India, Thailand, Sri Lanka, and West Africa, and is recognized for his expertise in leading and transforming organizations in developing and emerging markets.
