Expert.ai S.p.A. (BIT:EXAI) entered into a non-binding agreement to acquire 40% stake in Villanova Project from Tiscali Italia S.p.A. Expert.ai S.p.A. (BIT:EXAI) entered into a non-binding agreement to acquire 40% stake in Villanova Project from Tiscali Italia S.p.A on April 7, 2025. The non-binding agreement provides for (i) the establishment of a newco by Tiscali (the ‘NewCo’); (ii) the transfer of the Villanova Project to NewCo, and (iii) the subsequent investment by expert.ai in NewCo. Upon completion of the Transaction, it is expected that expert.ai will hold a stake equal to not less than 40% of NewCo's share capital. The Non-Binding Agreement provides for Tiscali's commitment, until June 30, 2025 unless expert.ai informs Tiscali that it does not wish to proceed with the Transaction not to engage in negotiations or discussions concerning the Project with parties other than expert.ai.
