Moderna Insiders Sold US$3.3m Of Shares Suggesting Hesitancy

Over the past year, many Moderna, Inc. (NASDAQ:MRNA) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Moderna

In the last twelve months, the biggest single sale by an insider was when the CEO & Director, Stephane Bancel, sold US$2.3m worth of shares at a price of US$88.88 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$58.86. So it is hard to draw any strong conclusion from it.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Moderna insiders own 9.6% of the company, currently worth about US$2.2b based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

It doesn't really mean much that no insider has traded Moderna shares in the last quarter. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Moderna insiders selling.
