Yelp Insiders Sold US$1.5m Of Shares Suggesting Hesitancy

In the last year, many Yelp Inc. (NYSE:YELP) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Yelp Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief People Officer, Carmen Amara, sold US$539k worth of shares at a price of US$43.25 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The silver lining is that this sell-down took place above the latest price (US$37.52). So it is hard to draw any strong conclusion from it.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Yelp insiders own about US$135m worth of shares (which is 5.2% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Yelp Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Yelp insiders selling.
