Announces Board Appointments, Effective August 28, 2025 Universal Ibogaine Inc. appointed two new Directors to join the Board, effective August 28, 2025, with one of the Board members filling a vacant Board position which previously arose in July 2025. James Duncan - Mr. Duncan is Director of Sales & Trading with Toronto based Independent Trading Group (ITG), and has been an active trader in the Canadian markets for 40 years, covering accounts from the EU, US and Canada, both retail and institutional. James has always been active in the trading community, serving Security Traders Associations ("STA") across the country and was Chairman of the STA in the United States in 2004 as well as serving as chair of the CSTA in Canada. He founded the Bay Street Children's foundation in 2000 and currently serves as its Chairman. James and his team have raised multiple millions for children's charities in Toronto. Dr. Dean Koumontzis - Dr. Koumontzis is an expert in orthopedic surgery and sports medicine with an emphasis on treating disorders of the elbow, shoulder and knee. He also serves as Director of the Bone Health Clinic at TOCA at Banner Health. He has been an invited faculty member of prestigious institutions across the country and has also served on many orthopedic and sports medicine committees throughout his career. His abstracts, manuscripts, and articles have been published in numerous scientific journals, magazines and textbooks, and his lectures and presentations have gained national and international recognition. Dr. Alberto Sola Agullo has decided to resign from the Board in order to focus his time on his ibogaine based addiction treatment business, Clear Sky Recovery Cancun SA de CV (Clear Sky) which operates in Cancun, Mexico. In conjunction, Robert Turner has also chosen to resign from the Board, which continues with members Ian Campbell (Chairman), Anthony Decristofaro, and Nick Karos (CEO). UI also announced of the expansion of its Advisory Board to include Amanda Zinter. Candice Wilson and Amanda Zinter the founders of WilsonZinter Enterprises Ltd., who live and work on the unceded territories of the Haisla Nation and Semiahmoo First Nation, and both work closely with Haisla Nation, Candice as the Environment Manager and Amanda as a Regulatory Consultant. WilsonZinter was formed to promote indigenous involvement in project development across Canada. The initial members joining the UI Advisory Board include: Melissa Lavasani Melissa Lavasani is Founder and Executive Director of Plant Medicine Coalition, a Washington DC based organization advocating for all plant medicines and their synthetic derivatives at the national, state, and local levels. Melissa proposed DC's Initiative 81, "The Entheogenic Plant and Fungus Policy Act of 2020," after entheogenic plants and fungi helped her overcome severe postpartum depression. As Chairwoman, she successfully ran the Decriminalize Nature DC, the campaign supporting the historic passage of Initiative 81. After the use of psilocybin and ayahuasca helped her reclaim her life, Melissa was motivated to change laws in the District of Columbia so that other residents would not face the same fear of investigation, arrest, and prosecution for using psychedelics to heal themselves. Marcos Moura - Marcos Moura is co-owner and Chief Development Officer of Amada Franchise Inc., a brand dedicated to enriching the lives of rapidly aging population. Marcos has helped hundreds of entrepreneurs grow businesses that allow them to live life on their terms and do work that is meaningful to them, their families, and their communities. Universal Ibogaine Inc. announced that it expects to receive CAD 5 million in funding Universal Ibogaine Inc. announced a private placement of secured guarantee convertible notes for gross proceeds of up to CAD 5 million on February 6, 2023. The notes will will bear interest of 8% payable at quarterly and have a maturity of 3 years from the closing of the transaction. On a future conversion, the holder of the notes will receive one units of company, which comprised of one common share and a one-half common share purchase warrant. The notes will have a conversion price of CAD 0.03 per common share in year 1 after closing, CAD 0.10 for year 2, and CAD 0.15 for year 3, and each whole warrant will have an escalating annual exercise price which will be CAD 0.08 if converted in year 1 after closing, and CAD 0.13 if converted in year 2, and CAD 0.18 if converted in year 3 after closing. The notes will be subordinated to the company’s existing mortgage.
