Republic Services Insiders Sold US$5.8m Of Shares Suggesting Hesitancy
The fact that multiple Republic Services, Inc. (NYSE:RSG) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Republic Services
The Executive VP & COO, Gregg Brummer, made the biggest insider sale in the last 12 months. That single transaction was for US$1.4m worth of shares at a price of US$228 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$237. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 38% of Gregg Brummer's stake.
In the last twelve months insiders purchased 619.00 shares for US$115k. On the other hand they divested 28.37k shares, for US$5.8m. All up, insiders sold more shares in Republic Services than they bought, over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Republic Services Insiders Are Selling The Stock
The last three months saw significant insider selling at Republic Services. Specifically, insiders ditched US$1.8m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 0.1% of Republic Services shares, worth about US$89m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
So What Does This Data Suggest About Republic Services Insiders?
Insiders sold stock recently, but they haven't been buying. Zooming out, the longer term picture doesn't give us much comfort. But it is good to see that Republic Services is growing earnings. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. In terms of investment risks, we've identified 2 warning signs with Republic Services and understanding these should be part of your investment process.
