Insiders At Cimpress Sold US$9.5m In Stock, Alluding To Potential Weakness
The fact that multiple Cimpress plc (NASDAQ:CMPR) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Cimpress
The Founder, Robert Keane, made the biggest insider sale in the last 12 months. That single transaction was for US$7.1m worth of shares at a price of US$102 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The good news is that this large sale was at well above current price of US$48.08. So it is hard to draw any strong conclusion from it.
In the last year Cimpress insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insider Ownership
For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Cimpress insiders own 15% of the company, worth about US$182m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
So What Do The Cimpress Insider Transactions Indicate?
The fact that there have been no Cimpress insider transactions recently certainly doesn't bother us. While we feel good about high insider ownership of Cimpress, we can't say the same about the selling of shares. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Cimpress.
