Avichina Industry & Technology Company Limited Approves Final Dividend for the Year Ended 31 December 2024, Payable on or Before 25 June 2025 AviChina Industry & Technology Company Limited at its 2024 AGM approved a final dividend of RMB 0.081 per share for the year ended 31 December 2024. The 2024 Final Dividend of RMB 0.081 (equivalent to HKD 0.087853, based on the central parity rate between RMB and Hong Kong dollars issued by the People's Bank of China for the five working days prior to the declaration of dividends at the 2024 AGM) per share (tax inclusive) calculated based on the existing number of total issued shares of 7,972,854,242 shares of the Company as at Friday, 30 May 2025, will be paid to holders of shares whose names appear on the register of members of the Company at the close of business on Friday, 30 May 2025. The 2024 Final Dividend is expected to be paid to holders of shares of the Company on Wednesday, 25 June 2025. Pursuant to the aforesaid tax regulations, when the 2024 Final Dividend is to be distributed to the holders of H shares whose names appeared on the register of members of H shares of the Company as at Friday, 30 May 2025, the Company will generally withhold and pay 10% of the dividend to be distributed to the individual holders of H shares of the Company as individual income tax. Avichina Industry & Technology Company Limited Announces Executive Changes The board of directors of AviChina Industry & Technology Company announced that due to change in work arrangement, Mr. Xu Bin applied to the Board for resignation from his position as the Board secretary, company secretary and an authorized representative of the Company with effect from 26 July 2024. The Board announced that, at the Board meeting held on 26 July 2024, the Board considered and approved the resolutions in relation to the appointment of Mr. Zhao Zhuo as the Board secretary of the Company, with the term of office commencing from the date of approval of such resolution at the Board meeting to the date on which the term of office of the eighth session of the Board expires and the appointment of Ms. Wu Yun as the company secretary and an authorised representative of the Company, with the term of office commencing from the date of approval of such resolution at the Board meeting to the date of dismissal by the Board. Mr. Zhao Zhuo, aged 51, a master's degree holder and a researcher. Mr. Zhao successively graduated from Beijing Institute of Chemical Technology with a bachelor's degree of engineering majoring in industrial management engineering and from the school of management of Beihang University with a master's degree of engineering majoring in management. Mr. Zhao has obtained an EMBA degree from University of Texas at Arlington. Mr. Zhao has commenced his career in aviation industry since 1995. He successively served for AVIC Economics & Technology Research Establishment, the planning and development department of Aviation Industry Corporation of China, and the general affairs division of China Aviation Industry Corporation II.Since 2005, Mr. Zhao has served as the deputy director of the comprehensive management department, the deputy director, director of the internal audit department, the director of the capital market department, and the director of the comprehensive management department of the Company. Mr. Zhao had been a supervisor of AVIC JONHON Optronic Technology Co. Ltd. from October 2017 to August 2018 and a director of AVIC BIAM New Materials Technology and Engineering Co. Ltd. from May 2017 to May 2018. Mr. Zhao has been the deputy general manager of AVICOPTER PLC from April 2022 to July 2024, and the board secretary of AVICOPTER PLC from August 2022 to July 2024. Mr. Zhao has been a supervisor of the Company from December 2020 to July 2024. Ms. Wu Yun, aged 47, a master's degree holder and an intermediate economist. Ms. Wu graduated from Beijing Institute of Technology with a master's degree in business administration. From June 2002 to December 2004, Ms. Wu worked in the international cooperation and trade department of the China Aviation Industry Corporation II. From December 2004 to October 2016, Ms. Wu worked at the Company successively holding various positions including senior manager in the management department and the securities and legal department and an assistant director in the compliance management department, and served as a deputy director of the compliance and risk control department of the Company from October 2016 to March 2020. Ms. Wu served as the deputy director of the security affairs department of the Company from March 2020 to March 2021, and has been the director of the security affairs department of the Company since March 2021. AviChina Industry & Technology Company Limited announced that it has entered into the share subscription agreement for the private placement of 261,522,000 domestic shares at the subscription price of HKD 4.34 for gross proceeds of HKD 1,135,005,480 (CNY 999,998,848) on May 9, 2023. The transaction will include participation from existing investor, National Military and Civilian Integration Industry Investment Fund Co., Ltd., a fund managed by Huihua Fund Management Co., Ltd. The shares represent (i) approximately 17.43% of the total number of issued domestic shares of the company and approximately 3.39% of the total number of issued shares of the company as at the date of this announcement; and (ii) approximately 14.84% of the enlarged total number of issued domestic shares after the completion and approximately 3.28% of the enlarged total number of issued shares of the company after the completion. The company incurred issuance expenses and received the net proceeds of approximately HKD 1,13,28,41,144.89 (CNY 999,798,848).
