A cash consideration valued at RON 1.379 per share will be paid by Polpharma SA Pharmaceutical Works, nearly 15% above the market price at the time the announcement was made. The price of Biofarm’s shares increased by 2.9% on May 7, 2026. Each of Longshield Investment Group SA and Lion Capital S.A. have undertaken to tender in such VTO all of their shares held in Biofarm. Separately, Lion Capital S.A. as shareholder of Biofarm S.A. entered into an implementation agreement with Longshield Investment Group S.A. and Zaklady Farmaceutyczne Polpharma S.A.
The launch of the VTO is subject to obtaining all relevant approvals from the Financial Supervisory Authority.
