DoJ Orders Keysight to Sell Assets to Finalise Spirent Deal The US Department of Justice (DoJ) has ordered US electronic design and test solutions specialist Keysight Technologies, Inc. (NYSE:KEYS) to sell key assets of Spirent Communications plc (LSE:SPT) before completing the GBP 1.16 billion (USD 1.57 billion /EUR 1.38 billion) purchase of the UK telecommunications testing company. The DoJ said on June 2, 2025 that its antitrust division has filed a lawsuit to block the merger and has simultaneously submitted a proposed settlement requiring divestiture to resolve competition concerns. To maintain market competitiveness, Keysight must divest Spirent’s high-speed ethernet testing, network security testing, and RF channel emulation units, accounting for roughly 40% of Spirent’s revenue, to rival firm Viavi Solutions Inc. These businesses are vital for sectors such as cloud computing and telecom, which rely on advanced testing tools, according to the statement.
