Greentown Service Group Co. Ltd. Receives Judgment from the Shanghai High People's Court in Relation to Settlement of Legal Proceedings On 21 August 2023, Greentown Service Group Co. Ltd. received a judgment from the Shanghai High People's Court in relation to the Legal Proceedings, the case no. being, which stated that the appeal filed by the Group was dismissed and the First Instance Judgment shall be upheld. In light of the aforesaid, the Plaintiff is entitled to demand Greentown Consulting, as a joint and several obligor to fulfill the payment obligation of the sums payable (the "Judgment Sum") under the First Instance Judgment. Please refer to the announcement of the Company dated 21 March 2023 for calculation of the Judgement Sum. After negotiations between Greentown Consulting and the Plaintiff, Greentown Consulting and the Plaintiff have entered into a settlement agreement (the "Settlement Agreement") for the settlement of the Legal Proceedings, and Greentown Consulting has paid a settlement fee in an amount of not more than the Judgment Sum (the "Settlement Fee") on the date of this announcement for full and final settlement of the Legal Proceedings and all related matters. Regarding the Settlement Fee paid by Greentown Consulting, the Group will vigorously pursue the recovery of the same from the First Defendant, however, taking into account the First Defendant's existing capability to discharge its obligations, such recovery may not be realized. The Company has already made sufficient provisions in relation to the Legal Proceedings for the year ended 31 December 2023, details of which are set out in the 2023 annual report of the Company and the Company believes that the payment of the Settlement Fee will not have any material adverse impact on the Group and the business and operations of the Group remain normal. Ltd. announced that Ms. Wu Aiping will resign as an independent non-executive Director, and a member of each of the audit committee, the remuneration committee and the nomination committee of the Company with effect from 1 June 2023 due to her desire to devote more time to her personal affairs. Greentown Service Group Co. Ltd. Announces Resignation of Wu Zhihua as Executive Director The board of directors of Greentown Service Group Co. Ltd. announced that due to personal health reason, Mr. Wu Zhihua ("Mr. Wu'') has tendered his resignation as an executive Director and an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited with effect from 10 February 2023.
