Deutsche Börse AG (XTRA:DB1) reached an agreement to acquire Allfunds Group plc (ENXTAM:ALLFG) from LHC3 Limited, BNP Paribas SA (ENXTPA:BNP) and others for €5.4 billion. Deutsche Börse AG (XTRA:DB1) reached an agreement to acquire Allfunds Group plc (ENXTAM:ALLFG) from LHC3 Limited, BNP Paribas SA (ENXTPA:BNP) and others for €5.4 billion on January 21, 2026. The consideration consists of common equity of Deutsche Börse AG at a ratio of 0.0122 per common equity of Allfunds Group plc. A cash consideration valued at €6.2 per share will be paid by Deutsche Börse AG. A permitted cash dividend of up to €0.20 per Allfunds Share (excluding those in treasury) for the financial year 2025 to be paid by Allfunds in May 2026 (the “2025 Dividend”). Deutsche Börse AG intends to finance the cash consideration payable under the acquisition through a combination of existing cash and a credit facility. the bridge facility to be entered into pursuant to debt commitments obtained by DBAG which will provide credit in the form of term loans in an aggregate principal amount of €3.6 billion. In case of termination of transaction, Deutsche Börse AG will pay a termination fee of €100 million and Allfunds Group plc will pay a termination fee of €51.40 million. The Acquisition is to be effected by means of a Court-sanctioned scheme of arrangement between Allfunds and Scheme Shareholders under Part 26 of the UK Companies Act 2006 (the “Scheme”).
The transaction is subject to approval by regulatory board / committee, approval of offer by target shareholders and subject to antitrust regulations. The sanction of the Scheme by the Court and the delivery of a copy of the Court order sanctioning the Scheme to the Registrar of Companies in England and Wales. The Allfunds Directors have concluded that they unanimously support the Acquisition and intend to recommend unanimously that Allfunds Shareholders vote in favour of the Acquisition. The expected completion of the transaction is January 1, 2027 to June 30, 2027.

Deutsche Börse Confirms Exclusive Discussions Regarding Possible Acquisition of Allfunds Deutsche Börse Group (Deutsche Börse AG (XTRA:DB1)) noted recent market speculation and confirms that it is in exclusive discussions with Allfunds Group plc (ENXTAM:ALLFG) regarding a possible acquisition of the entire issued and to be issued share capital of Allfunds (the “Non-binding proposal”). The board of directors of Allfunds has unanimously agreed to Allfunds entering into exclusivity on the basis of the Non-binding proposal put forward by Deutsche Börse Group. The announcement of any binding offer relating to a possible acquisition is subject to the satisfaction or waiver of a number of customary pre-conditions, including, amongst other things, the satisfactory completion of customary due diligence in respect of Allfunds, the finalization of definitive transaction documentation and final approval of the Deutsche Börse and Allfunds Boards. Deutsche Börse Group is a strong advocate of a prospering funds industry being essential to the EU's status as a globally relevant financial center. The proposed transaction would be in line with Deutsche Börse’s strategy and further emphasizes its ongoing commitment and efforts to strengthen European capital markets and its global competitiveness as envisioned by the Savings and Investments Union (SIU). The Non-binding proposal currently under discussion implies a total consideration of €8.80 per Allfunds share, comprising €4.30 in cash and €4.30 in new Deutsche Börse Group shares based on Deutsche Börse Group’s undisturbed 10-day VWAP, plus a permitted dividend in respect of financial year 2025 of €0.20 per Allfunds share. In addition, under the terms of that Non-binding proposal, it is expected that Allfunds shareholders would also be entitled to receive cash dividends, pro-rated as at the date of Closing, of up to €0.20 per Allfunds share for the financial year 2026 and €0.10 per Allfunds share per quarter during the financial year 2027. It is expected that the combination of Deutsche Börse Group and Allfunds would be effected through a scheme of arrangement under Part 26 of the UK Companies Act 2006. There can be no certainty that any transaction will proceed, nor as to the terms or timing of any such transaction. Any transaction would be subject to regulatory approvals. SIX Group Reportedly Considers Bid for Allfunds Swiss stock market operator SIX Group Ltd. is considering a bid for fund distribution company Allfunds Group plc (ENXTAM:ALLFG), opens new tab, according to two sources with knowledge of the situation, a move that could be complicated by the difficulty of raising acquisition financing. Allfunds management is expected to meet prospective bidders next month, one of the sources said, while the other said no offer from the Zurich-headquartered SIX was imminent. Amsterdam-listed Allfunds is working with Goldman Sachs and Citigroup on a strategic review that could lead to a sale and has also attracted interest from private equity firms, two other people with knowledge of the situation said. Although conversations over the future of Allfunds are preliminary, they may gain momentum during the first quarter after it publishes its annual results in February, the two sources said. Funds including Advent, Brookfield Corporation (TSX:BN), CVC Limited (ASX:CVC) and KKR & Co. Inc. (NYSE:KKR) have shown an interest, two people familiar with the process said, but it was unclear if any planned to pursue an offer. Spokespeople for SIX, which is owned by around 120 banks, and Allfunds, declined comment. Advent, Brookfield, CVC and KKR declined to comment.
