Golden Harp Resources Inc. (TSXV:GHR.H) completed the acquisition of remaining 51% interest Block A Property from Timothy A. Young. Golden Harp Resources Inc. (TSXV:GHR.H) entered into a definitive agreement to acquire remaining 51% interest Block A Property from Timothy A. Young for CAD 0.49 million on September 2, 2025. The purchase price will be satisfied by the issuance to Mr. Young of 28,218,460 common shares of Golden Harp Resources Inc. (TSXV:GHR.H). The Consideration Shares will be subject to a statutory hold period of four months and one day from the date of issuance. Upon closing of the acquisition, Mr. Young will acquire ownership and control of 28,218,460 additional common shares of Golden Harp, which, together with his existing holdings of 26,574,262 common shares, will result in beneficial ownership of 54,792,722 common shares, representing approximately 87% of the issued and outstanding shares on a non-diluted basis.
The transaction is subject to approval of Golden Harp Resources shareholders, customary conditions, including receipt of final acceptance from the TSX Venture Exchange (“TSXV”) and shareholder approval. If TSXV approval is not obtained within 90 days, the agreements will terminate in accordance with their terms. The transaction was subject to approval of target board and the board approved the definitive documentation by unanimous written consent on September 2, 2025. As of January 6, 2025 Golden Harp Resources shareholders has approved the transaction.
