Ampere Metals Pty Ltd signed a letter of intent to acquire Fife Capital Corp. (TSXV:FFC.P) for CAD 12.8 million in a reverse merger transaction. Ampere Metals Pty Ltd signed a letter of intent to acquire Fife Capital Corp. (TSXV:FFC.P) for CAD 12.8 million in a reverse merger transaction on January 12, 2026. Pursuant to the terms of the Proposed Transaction, all of the issued and outstanding ordinary shares of Ampere will be exchanged for FIFE Shares on an exchange ratio to be determined but initially expected to be 1:1. The consideration consists of common equity of Ampere Metals Pty Ltd to be issued for common equity of Fife Capital Corp. As part of consideration, an undisclosed value is paid towards common equity of Fife Capital Corp. Following the completion of the Transaction, FIFE is expected to be renamed Ampere Metals Limited.
The transaction is subject to approval by regulatory board, consummation of due diligence investigation, definitive agreement and third party approval needed.
