How Much Are Xero Limited (ASX:XRO) Insiders Taking Off The Table?

We often see insiders buying up shares in companies that perform well over the long term. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Xero Limited (ASX:XRO).

What Is Insider Buying?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. Xero Insider Transactions Over The Last Year

The Founder & Non-Executive Director, Rod Drury, made the biggest insider sale in the last 12 months. That single transaction was for AU$240m worth of shares at a price of AU$134 each. That means that an insider was selling shares at around the current price of AU$120. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

In the last twelve months insiders purchased 1.01m shares for AU$101m. But they sold 5.41m shares for AU$650m. All up, insiders sold more shares in Xero than they bought, over the last year. Does Xero Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Xero insiders own 13% of the company, currently worth about AU$2.3b based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

The fact that there have been no Xero insider transactions recently certainly doesn't bother us. While we feel good about high insider ownership of Xero, we can't say the same about the selling of shares.
