Have Insiders Been Selling Technology One Limited (ASX:TNE) Shares?
We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Technology One Limited (ASX:TNE), you may well want to know whether insiders have been buying or selling.
What Is Insider Buying?
It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Technology One
Over the last year, we can see that the biggest insider sale was by the Non-Executive Director, John MacTaggart, for AU$37m worth of shares, at about AU$9.20 per share. That means that an insider was selling shares at below the current price (AU$9.38). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 11% of John MacTaggart's stake.
In the last twelve months insiders purchased 23.31k shares for AU$196k. But insiders sold 7.05m shares worth AU$65m. In total, Technology One insiders sold more than they bought over the last year. Insiders at Technology One Have Bought Stock Recently

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Technology One insiders own 16% of the company, currently worth about AU$467m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
So What Do The Technology One Insider Transactions Indicate?
The recent insider purchases are heartening. However, the longer term transactions are not so encouraging. Overall, we'd prefer see a more sustained buying from directors, but with a significant insider holding and more recent purchases, Technology One insiders are reasonably well aligned, and optimistic for the future.
