Read This Before Selling Mithril Resources Limited (ASX:MTH) Shares

We often see insiders buying up shares in companies that perform well over the long term. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So before you buy or sell Mithril Resources Limited (ASX:MTH), you may well want to know whether insiders have been buying or selling.

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

The Last 12 Months Of Insider Transactions At Mithril Resources

In the last twelve months, the biggest single sale by an insider was when the insider, Kenneth Baker, sold AU$497k worth of shares at a price of AU$0.013 per share. That means that an insider was selling shares at slightly below the current price (AU$0.022). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was 82% of Kenneth Baker's stake. Kenneth Baker was the only individual insider to sell over the last year. Notably Kenneth Baker was also the biggest buyer, having purchased AU$753k worth of shares.

Over the last year, we can see that insiders have bought 60.37m shares worth AU$753k. On the other hand they divested 42.78m shares, for AU$497k. In total, Mithril Resources insiders bought more than they sold over the last year. They paid about AU$0.012 on average. To my mind it is good that insiders have invested their own money in the company. However, we do note that they were buying at significantly lower prices than today's share price. Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Mithril Resources insiders own 44% of the company, currently worth about AU$20m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
