Varteks Shareholders Approve Delisting Varteks d.d. said its shareholders approved on May 21, 2024 a proposal to delist all of its 5,026,686 shares from the Zagreb Stock Exchange (ZSE), as well as to cut and subsequently increase its share capital. Those who disagree with the proposal will receive a compensation of EUR 0.06 ($0.065) for each of their shares, Varteks said in a filing to the Zagreb bourse, without elaborating on the reason for the delisting. The shareholders also approved a proposal to cut the company’s capital of EUR 6.67 million by EUR 6.36 million in order to cover losses from earlier years. Following the capital cut, the company’s capital totals EUR 301,601. Later on, the company plans to increase its capital by at least EUR 100,007 and up to EUR 2.5 million through the issuance of new shares. The number of newly issued shares will range from at least 9,579 to up to 239,464, with a subscription price of EUR 10.44 per share. Varteks Shareholders Reject Delisting Proposal Varteks d.d. said its shareholders have rejected a proposal to delist its 5,026,686 shares from the Zagreb Stock Exchange (ZSE). The shareholders voted on the delisting proposal on December 15, 2023 when they also rejected a proposal to allow the management to acquire the company’s own shares, Varteks said in a filing to the Zagreb bourse, without elaborating further. The ZSE has put the company’s shares in the segment for monitoring since November 7, 2023 when the delisting proposal was first announced. Those who disagree with the proposal will be eligible to a fair compensation for their shares, Varteks said in a filing to the Zagrebbourse without elaborating on the reasons for the intended delisting. Following the announcement of the delisting proposal, on Tuesday the ZSE put the company’s shares in the segment for monitoring.
