Longview Gold Corp. entered into a business combination agreement to acquire Canoe Mining Ventures Corp. (TSXV:CLV) in a reverse merger transaction. Longview Gold Corp. entered into a business combination agreement to acquire Canoe Mining Ventures Corp. (TSXV:CLV) in a reverse merger transaction on July 24, 2026. Canoe will issue Post-Consolidation Canoe Shares in exchange for the cancellation of all of the issued and outstanding Longview Shares. All of the outstanding shares of Longview in exchange for the issuance of common shares in the capital of Canoe (on a 1:1 basis following a 3.32:1 share consolidation). Canoe and Longview, will raise minimum aggregate gross proceeds of CAD 6.2 million and to be closed prior to the Amalgamation. Canoe will change its name to “Longview Gold Corp.”. The new name of the combined company shall be “LG Acquisition Corp.” or any other name acceptable to Canoe and Longview. In case of termination of transaction, Longview Gold Corp. will pay a termination fee of CAD 0.50 million.
After closing, the directors and officers of Canoe will be as follows: Gary Thompson as Chief Executive Officer and Director. Kevin Chen as Chief Financial Officer and Corporate Secretary, Michael Rapsch as Director, David Netherway as Director, Scott Kelly as Director, and Eugene Lee as Director.
The transaction is subject to minimum balance sheet requirements, consummation of private placement, approval by regulatory board / committee, approval of merger agreement by target board, approval of offer by acquirer shareholders, approval of offer by acquirer board, approval of offer by target shareholders and listing / approval of new shares on stock exchange. The deal has been approved by the board.
