Katsumi Nozawa completed the acquisition of an additional 65.33% stake in Art Vivant Co., Ltd. (TSE:7523) from Hiroyuki Maki and others in a management buyout transaction. Katsumi Nozawa proposed to acquire an additional 65.33% stake in Art Vivant Co., Ltd. (TSE:7523) from Hiroyuki Maki and others in a management buyout transaction for ¥11.4 billion on July 2, 2025. A cash consideration of ¥11.36 billion valued at ¥1900 per share will be paid by the buyer. As part of consideration, ¥11.36 billion is paid towards common equity of Art Vivant Co., Ltd. Katsumi Nozawa directly owns 0.24 million shares, representing 2.61% stake and indirectly through its subsidiary company Katsu Corporation Ltd owns 3.09 million shares, representing 33.76% stake in Art Vivant Co., Ltd. The tender offer period will commence from July 13, 2026 and close on August 25, 2026. The transaction is subject to minimum tender of planned purchase of 3.85 million shares. Upon completion, if the tender offer is made for the lower limit of the planned purchase, the tender offeror's shareholding ratio after the tender offer will be 78.45%. The Board of Directors resolution was made on the premise that the tender offeror intends to take the shares private through this tender offer and the subsequent procedures, and that the shares are scheduled to be delisted on completion. The Board of Directors recommend the shareholders to tender their shares in this tender offer. The tender offer registration statement to be submitted by the tender offeror on July 13, 2026.
The transaction is subject to approval of merger agreement by target board and minimum tender. The Board of Directors of Art Vivant Co., Ltd. formed a special committee for the transaction. The expected completion of the transaction is August 25, 2026.

YAMADA Business Consulting Co.,Ltd. acted as financial advisor for Art Vivant Co., Ltd, and Stream Co., Ltd. as third-party valuation firm. The tender offeror has appointed TMI Associates as legal advisor and Japan Blue M&A Advisory Co., Ltd. as financial advisor, and has begun concrete considerations regarding the complete subsidiary acquisition from legal, financial, and tax perspectives.
