Teiji Yasuhara, Representative Director and President of Yasuhara Chemical completed the acquisition of 57.4% stake in Yasuhara Chemical Co.,Ltd. (TSE:4957) from Taeko Okitsu and others in a management buyout transaction for ¥7.2 billion. Teiji Yasuhara, Representative Director and President of Yasuhara Chemical proposed to acquire an additional 65.02% stake in Yasuhara Chemical Co.,Ltd. (TSE:4957) from Taeko Okitsu and others in a management buyout transaction for ¥8.1 billion on October 31, 2025. A cash consideration of ¥8.14 billion valued at ¥1380 per share will be paid by Teiji Yasuhara. As part of consideration, ¥8.14 billion is paid towards common equity of Yasuhara Chemical Co.,Ltd. In a related transaction, Teiji Yasuhara will acquire stake in Yasuhara Chemical Co.,Ltd. from Y.S. Kosan LLC, Hiroyuki Okitsu, Keiko Harada and Taeko Okitsu. Upon completion of the transactions, Teiji Yasuhara will hold 100% stake in Yasuhara Chemical Co.,Ltd.
The transaction is subject to approval of merger agreement by target board. The Board of Directors of Yasuhara Chemical Co.,Ltd. formed a special committee for the transaction. The deal has been approved by the board of Yasuhara Chemical Co.,Ltd. The expected completion of the transaction is December 16, 2025.
