Sumitomo Chemical Company, Limited (TSE:4005) completed the acquisition of 49.57% stake in Tanaka Chemical Corporation (TSE:4080) from The Fukui Bank, Ltd. (TSE:8362), SMBC Nikko Securities Inc., MUFG Bank, Ltd., Morgan Stanley MUFG Securities Co., Ltd., Custody Bank of Japan, Ltd. and The Nomura Trust and Banking Co., Ltd. and others.
Sumitomo Chemical Company, Limited (TSE:4005) agreed to acquire 49.57% stake in Tanaka Chemical Corporation (TSE:4080) from The Fukui Bank, Ltd. (TSE:8362), SMBC Nikko Securities Inc., MUFG Bank, Ltd., Morgan Stanley MUFG Securities Co., Ltd., Custody Bank of Japan, Ltd. and The Nomura Trust and Banking Co., Ltd. and others for ¥6.8 billion on October 28, 2025. As part of the consideration, the exchange ratio shall be determined by dividing ¥424 by the Average price of common shares of Sumitomo Chemical Company, Limited. The cash per share for Tanaka Chemical Corporation has been set as ¥424, and has been determined to be appropriate. Upon completion, Sumitomo Chemical Company, Limited will own 100% stake in Tanaka Chemical Corporation.
The transaction is subject to approval of merger agreement by target board, approval of offer by target shareholders and consummation of due diligence investigation. The Board of Directors of Tanaka Chemical Corporation formed a special committee for the transaction. The deal has been unanimously approved by the board. The expected completion of the transaction is January 30, 2026.
