Arealink Co., Ltd. (TSE:8914) agreed to acquire STORAGE-OH Co.,Ltd. (TSE:2997) from KLI Co. Ltd., Develop Co., Ltd., Hosoya Industrial Co., Ltd., Kyushu Leasing Service Co., Ltd., Shinichiro Naito and AGS Consulting Co., Ltd. for ¥2.5 billion.

Arealink Co., Ltd. (TSE:8914) signed a non-binding letter of intent to acquire STORAGE-OH Co.,Ltd. (TSE:2997) from KLI Co. Ltd., Develop Co., Ltd., Hosoya Industrial Co., Ltd., Kyushu Leasing Service Co., Ltd., Shinichiro Naito and AGS Consulting Co., Ltd. for ¥2.5 billion on April 14, 2026. As of July 8, 2026, Arealink Co., Ltd. (TSE:8914) entered into agreements with shareholders agreeing with the Tender Offer to acquire STORAGE-OH Co.,Ltd. A cash consideration of ¥2.48 billion valued at ¥1340 per share will be paid by Arealink Co., Ltd. As part of consideration, ¥2.48 billion is paid towards common equity of STORAGE-OH Co.,Ltd. If the Tender Offeror is unable to acquire all of the Target Company’s shares and all of the Stock Options through this Tender Offer, the Tender Offeror plans to implement the squeeze-out procedure in the following manner after the Tender Offer is completed. Target Company Shares will be delisted following the prescribed procedures in accordance with the delisting criteria established by the Tokyo Stock Exchange. The transaction is subject to approval of merger agreement by target board, consummation of due diligence investigation and minimum tender. The deal has been recommended by the board of Arealink Co., Ltd. The Board of Directors of STORAGE-OH Co.,Ltd. formed a special committee for the transaction. Tender Offer period will commence from July 9 2026 and will close on August 21, 2026.
