Bull-Dog Sauce Co., Ltd. Announces Board and Committee Changes
BULL-DOG SAUCE CO., LTD. had established an Independent Committee pursuant to the Response Policies to Large-Scale Purchase of the Company’s Shares (Takeover Response Policies), the continuation of which was approved at the Company’s 100th Annual General Meeting of Shareholders held on June 26, 2025. One of the members of the Independent Committee, Mr. Hiroyasu Ishikawa, was scheduled to leave his position as an outside director who is an Audit Committee member of the Company upon the expiration of his term of office at the conclusion of the Company’s 101st Annual General Meeting of Shareholders scheduled to be held on June 25, 2026, and to leave his position as a member of the Independent Committee as of the same date. At the meeting of the Board of Directors held on June 12, 2026, the Company resolved to appoint Mr. Yasushi Okawara, a candidate for outside director, and Ms. Kyoko Nakamura, a candidate for outside director who is an Audit Committee member, as new members of the Independent Committee, subject to their election as an outside director and an outside director who is an Audit Committee member, respectively, at the Company’s 101st Annual General Meeting of Shareholders.
