CGN Huizhou No. 3 Nuclear Power Announces Approval for Construction of Huizhou Unit 5 and Unit 6 CGN Huizhou No. 3 Nuclear Power Co., Ltd. had been approved by the State Council. Currently, the Company and Huizhou No. 3 Nuclear Power are carrying out various preparatory work for the construction of the above-mentioned units in an orderly manner, the full construction of which will begin when the “Permit for Nuclear Power Station Construction” has been obtained from the National Nuclear Safety Administration. CGN Power Co., Ltd. Announces Board and Committees Resignations CGN Power Co., Ltd. announced that the Board received the written resignation reports from Mr. Li Fuyou and Ms. Xu Hua, independent non-executive Directors of the Company, on June 29, 2026. Pursuant to the Measures for the Administration of Independent Directors of Listed Companies of the China Securities Regulatory Commission and other relevant requirements, an independent non-executive director shall not serve consecutively for more than six years at the same listed company. As Mr. Li will soon have served consecutively as an independent non-executive Director of the Company for six years, he has applied to resign from his positions as an independent non-executive Director of the Company, the chairman of the nomination committee of the Board, a member of the audit and risk management committee of the Board and a member of the nuclear safety committee of the Board. Ms. Xu has applied to resign from her positions as an independent non-executive Director of the Company, the chairman of the audit and risk management committee of the Board, a member of the remuneration committee of the Board and a member of the nomination committee of the Board due to her personal career development plan. As the resignation of Mr. Li and Ms. Xu will result in the number of independent non-executive Directors of the Company accounting for less than one-third of the members of the Board, pursuant to the requirements under the relevant laws, regulations, regulatory documents and the Articles of Association of CGN Power Co., Ltd., Mr. Li and Ms. Xu will continue to perform the relevant duties of independent non-executive Directors and members of the specialized committees of the Board, and their resignations will take effect from the date on which new independent non-executive Directors are elected at the extraordinary general meeting. After their resignations take effect, Mr. Li and Ms. Xu will no longer hold any position in the Company.
