TCL Electronics Holdings Limited Announces Executive Changes, Effective September 4, 2026

TCL Electronics Holdings Limited announced that Mr. CHEN Ming resigned as a joint company secretary of the Company and the secretary to the Board with effect from September 4, 2026 but remained as a director of certain subsidiaries of the Company to devote more time to focusing on the business development and financial management of the North American business of the Group. Mr. SONG Honghai, born in March 1979, was appointed as a joint company secretary of the Company for a term of three years with effect from September 4, 2026. Mr. SONG has been appointed as a Vice President of the Company and the General Manager of the Capital Market Department of TCL Industries Holdings Co. Ltd. with effect from October 30, 2025. He also currently serves as a director of Guangdong TCL Smart Home Appliances Co. Ltd. Mr. SONG has over 20 years of extensive experience in the financial sector, navigating multiple complete economic cycles and possessing a combined background in leading international investment banks and leading buy-side investment institutions, and has demonstrated profound professional expertise and a global perspective in fixed income, structured investment and financing, private equity and domestic and international capital markets. Mr. SONG began his career as a management trainee at Citigroup (Hong Kong). Subsequently, he held various core management positions at several leading international investment banks and investment institutions, including Managing Director of BOCI Securities Limited, Managing Director of Far East Horizon Capital Limited, Executive Director of CMB International, Executive Director of CITIC Capital, Director of Standard Chartered Bank (Hong Kong) Limited and Assistant Vice President of Citibank (Hong Kong) Limited, and has long been leading capital market operations, investment strategy development, and fund investment management, possessing outstanding management experience and performance in both investment banking and investment management. Mr. SONG graduated from Peking University with a Bachelor of Laws degree in Political Science and a Bachelor degree in Economics, later obtained a Master of Arts degree in Economics and was recognised as an outstanding graduate of Peking University. He is also a Chartered Financial Analyst (CFA) charterholder. Ms. CHOY Fung Yee, the other joint company secretary of the Company, is a practising solicitor in Hong Kong and currently a partner of the Hong Kong solicitors firm Ronald Tong & Co. She obtained a Bachelor of Laws Degree in 2006 and a Postgraduate Certificate in Laws in 2007 from the University of Hong Kong, and was admitted as a solicitor of the High Court of Hong Kong in 2009. She has rich experience in corporate commercial, intellectual property and company secretarial aspects and is also a notary public in Hong Kong. Ms. CHOY has been serving as a company secretary of the Company since August 2016. She has been appointed as a joint company secretary of Shenzhen Longsys Electronics Co. Ltd., which appointment will become effective upon the listing of its H-shares on the Stock Exchange which is expected to take place on or about September 8, 2026. Ms. CHOY was also the company secretary of Tonly Electronics Holdings Limited from April 2017 to May 2021. From June 2015 to April 2017, she was the company secretary of China Display Optoelectronics Technology Holdings Limited. Ms. CHOY possesses acceptable qualification and relevant experience as required under Rule 3.28 of the Rules Governing the Listing of Securities on the Stock Exchange. The Company has made an application to the Stock Exchange for, and the Stock Exchange has granted, a waiver from strict compliance with the requirements under Rules 3.28 and 8.17 of the Listing Rules. The Waiver is valid for a period of three years from the date of appointment of Mr. SONG as a joint company secretary of the Company, on the following conditions: (i) Mr. SONG, the proposed joint company secretary of the Company, must be assisted by Ms. CHOY as the other joint company secretary throughout the Waiver Period; (ii) the Waiver can be revoked if there are material breaches of the Listing Rules by the Company; (iii) the Company shall disclose in an announcement (i) reasons for the Waiver; (ii) details and conditions of the Waiver; and (iii) qualification and experience of both Mr. SONG and Ms. CHOY; and (iv) the Company shall demonstrate and seek the Stock Exchange’s confirmation that Mr. SONG has attained the relevant experience and is capable of discharging the functions of company secretary under Rule 3.28 of the Listing Rules by the end of the Waiver Period.
