Chiho Environmental Group Limited Announces Management Changes, Effective May 28, 2026 Chiho Environmental Group Limited announced that Ms. Xu Jiayuan tendered her resignation as the company secretary and ceased to act as an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and as an authorised representative for accepting service of process or notices in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong), with effect from May 28, 2026. Ms. Xu confirmed that she had no disagreement with the Board and there were no matters relating to her resignation that needed to be brought to the attention of the Stock Exchange or the shareholders of the Company. Following the resignation of Ms. Xu, Mr. Wun Chun Yip was appointed as company secretary and authorised representative with effect from May 28, 2026. Mr. Wun, aged 51, has over 20 years’ managerial working experience in direct investment, project management, corporate finance and financial management and held various managerial positions in companies listed in Hong Kong and Singapore. Mr. Wun obtained a bachelor’s degree in commerce from the University of Melbourne and a master’s degree in business administration from the University of Adelaide. He is also a certified public accountant of both Hong Kong Institute of Certified Public Accountants and CPA Australia. Mr. Wun served as the company secretary and authorised representative of Man Sang International Limited, a company listed on the Main Board of the Stock Exchange from November 2024 to May 2025. Chiho Environmental Group Limited Announces Resignation of Executive Director Liu Yongxin, Effective January 15, 2026 Chiho Environmental Group Limited announced that Mr. Liu Yongxin resigned as an executive director of the Company with effect from January 15, 2026 due to his other work commitments. As at the date of this announcement, the Board comprises Executive Directors: Mr. Tu Jianhua, Mr. Qin Yongming (Chairman), and Mr. Ju Qinghao; Independent Non-Executive Directors: Prof. Li Zhiguo, Mr. Szeto Yuk Ting, and Ms. Leung Pui Yee. Chiho Environmental Group Limited Announces Inside Information Issue of A Writ of Summons Chiho Environmental Group Limited announced a facility agreement (the "Facility Agreement") entered into between the Company and certain independent third party institutions in relation to a syndicated term loan of up to USD 300,000,000; (ii) 3 April 2024 in relation to the payment default of the Facility Agreement; and (iii) 20 May 2025 (the "20 May Announcement") in relation to the appointment of receivers ("Receivers") over the shares of certain wholly-owned subsidiaries of the Company. Unless otherwise defined, capitalized terms used herein shall have the same meanings as those defined in the 20 May Announcement. As disclosed in the 20 May Announcement, the Group received notices from FTI Consulting pursuant to which, among others, that joint and several Receivers were purportedly appointed in respect of the charged shares in CRD, CRIH and CTRL under the Share Charges. The Company considers that the purported appointment of Receivers are invalid and void. On 5 June 2025, the Company, CRD, CRIH and Total Pioneer Holdings Limited, a wholly-owned subsidiary of the Company, as plaintiffs filed a writ with the High Court of the Hong Kong Special Administrative Region against, inter alia, the Receivers seeking, among others, (i) a declaration that the appointment of the Receivers and manager of the entire issued shares of CRD, CRIH and CTRL are invalid and void; (ii) a declaration that all acts of the Receivers in the purported capacity of receiver(s) and manager(s) of the entire share capital of CRD, CRIH and CTRL are invalid and void; and (iii) an injunction restraining the Receivers from acting (including exercising any powers given to a receiver or manager under the Facility Agreement, Share Charges or other finance documents) or holding out or representing to the public or any third party to be receivers and managers of CRD, CRIH and CTRL.
