Jinhai Medical Technology Limited Announces Board and Committee Changes, Effective September 18, 2026

Jinhai Medical Technology Limited announced that Liu Jinjing had been appointed as an independent non-executive Director of the Company with effect from September 18, 2026. Liu Jinjing, aged 39, has over 15 years of professional experience in areas of finance and audit. Liu obtained a bachelor degree of finance from Zhejiang University Ningbo Institute of Technology in 2009. Liu has been serving as the finance director in Passion Group, a company which headquarters is located in Shanghai for provision of human resources, focusing on business consulting, digital technology, and intelligent operations services and solutions since June 2021. Liu served as the chief financial officer of Shanghai Nanyan Information Technology Co. Ltd., an online integrated insurance services platform, between August 2018 to June 2021. Liu also worked as an audit manager at BDO China Shu Lun Pan CPAs LLP between January 2013 and August 2018. Liu is a certified public accountant of the People’s Republic of China. There is a letter of appointment entered into between the Company and Liu for a term of one-year. 15The Board announced that Li Yunping has resigned as an executive Director of the Company and Yang Meihua has resigned as an independent non-executive Director of the Company with effect from September 18, 2026 due to their other business commitments which require more time and dedication. Immediately upon the taking effect of their resignations, Li Yunping shall cease to be a member of Nomination Committee of the Company, and Yang Meihua shall cease to be a member of the Audit Committee, Remuneration Committee and Nomination Committee of the Company. Liu Jinjing has been appointed as a member of the Audit Committee of the Company with effect from September 18, 2026 while Yang Meihua has resigned as a member of the Audit Committee with effect from September 18, 2026. Liu Jinjing has been appointed as a member of the Nomination Committee of the Company with effect from September 18, 2026 while Li Yunping and Yang Meihua have resigned as members of the Nomination Committee with effect from September 18, 2026. Liu Jinjing has been appointed as a member of the Remuneration Committee of the Company with effect from September 18, 2026 while Yang Meihua has resigned as a member of the Remuneration Committee with effect from September 18, 2026.
