Unifon Holding As completed the acquisition of 70% stake in Nortel AS (OB:NTEL) for NOK 361.95 million. Unifon Holding As agreed to acquire 70% stake in Nortel AS (OB:NTEL) for NOK 361.95 million on July 6, 2023. The Offer Price of NOK 27.50 for the remaining outstanding shares will be settled in cash. The completion of the Offer will be subject to satisfaction of certain
customary conditions, each one of which, to the extent legally permissible, maybe waived by the Offeror. The Offeror obtains a minimum acceptance of 90% of the share capital of Nortel on a fully diluted basis and have a right of compulsory acquisition and is subject to regulatory approvals. The Board shall not have amended or withdrawn its recommendation of the Offer. The Offer Period will commence on July 10, 2023 and expire on August 14, 2023, subject to extensions at the sole discretion of the Offeror. As of September 7, 2023. The Offeror further confirms that the Regulatory Approval condition is satisfied. Settlement of the Offer is expected to take place no later than on September 22, 2023. Settlement of the Offer will, subject to applicable law, remain subject to the other conditions. The receiving agent for the Offer is DNB Bank ASA, Registrars Department Advisers. DNB Markets, a part of DNB Bank ASA, is acting as financial advisor and receiving agent to the Offeror, and Advokatfirmaet Wiersholm AS is acting as legal advisor to the Offeror.
