GRT Jewellers (India) Private Limited entered into a share purchase agreement to acquire 74.12% stake in Tribhovandas Bhimji Zaveri Limited (NSEI:TBZ) from Zaveri Family, Tribhovandas Bhimji Zaveri (TBZ) Private Limited and Tribhovandas Bhimji Zaveri Jewellers (Mumbai) Private Limited for INR 10.3 billion.

GRT Jewellers (India) Private Limited entered into a share purchase agreement to acquire 74.12% stake in Tribhovandas Bhimji Zaveri Limited (NSEI:TBZ) from Zaveri Family, Tribhovandas Bhimji Zaveri (TBZ) Private Limited and Tribhovandas Bhimji Zaveri Jewellers (Mumbai) Private Limited for INR 10.3 billion on August 31, 2026. The Sale Price may be subject to certain downward adjustments (if any) based on an audit to be conducted by GRT. GRT Jewellers (India) Private Limited will acquire 49.5 million shares of TBZ at INR 209 per share. GRT will also be launching an open offer for another ~26% as per applicable SEBI regulations. Upon completion of the Transaction under the SPA, GRT shall have the right to appoint its nominee directors on the board of directors of the Company. The following existing directors, namely, Shrikant Gopaldas Zaveri, Binaisha Shrikant Zaveri and Raashi Shrikant Zaveri shall resign from the Board. On completion of the Transaction, certain Sellers may enter into employment (non-key managerial personnel / non-senior managerial personnel) / consultancy arrangement with the Target Company to provide certain transitional services on agreed terms and period. The consummation of the SPA will be subject to appropriate regulatory approvals, CCI Approval, Lenders’ Approval and customary closing conditions.
