HEM Pharma Inc. announced private placement to issue Zero coupon Series 2 Bearer-type interest-bearing unsecured private placement convertible bonds in the principal amount of KRW 54,000,000,000 for gross proceeds of KRW 54,000,000,000 on August 6, 2026. The transaction includes participation from Shinhan Investment & Securities Co., Ltd. (in its capacity as the trustee of Timefolio KOSDAQ Venture Mezzanine K No. 1 General Private Equity Investment Trust (Specialized) for KRW 800,000,000 (in its capacity as the trustee of Timefolio KOSDAQ Venture It's Time-Mezzanine S No. 3 General Private Equity Investment Trust (Specialized) for KRW 2,500,000,000, Korea Investment & Securities Co., Ltd. (in its capacity as the trustee of Timefolio KOSDAQ Venture It's Time-Mezzanine T No. 3 General Private Equity Investment Trust for KRW 700,000,000, NH Investment & Securities Co., Ltd. (in its capacity as the trustee of Timefolio KOSDAQ Venture Mezzanine S No. 4 General Private Equity Investment Trust (Specialized) for KRW 1,500,000,000, HisStory Investment Management for KRW 1,500,000,000, Moby Dick-AFWP Growth Hybrid No. 1 for KRW 1,000,000,000, KB-GVA Premier Mezzanine New Technology Business Investment Fund for KRW 1,500,000,000, Korea Investment-Skywalk Mezzanine New Technology Investment Fund No. 1 for KRW 2,300,000,000, Korea Investment-A-One No. 1 Mezzanine New Technology Investment Fund for KRW 700,000,000, Korea Investment & Securities Co., Ltd. for KRW 2,000,000,000 and includes other investors. The bonds are zero coupon with yield to maturity of 1.5% and will mature on August 14, 2031. The bonds are 100% convertible into 1,229,732 shares at a conversion price of KRW 43,912 from August 14, 2027 to July 14, 2031. The bonds are restricted for 1 year. The transaction is approved by board of directors of the company and is expected to close on August 14, 2026. the company will issue bonds by third party allotment.
