Macquarie Korea Opportunities Private Equity Limited Partnership No. 6, a fund managed by Macquarie Asset Management Pty Limited proposed to acquire 74.99% stake in GABIA, Inc. (KOSDAQ:A079940) from Hong Yong-ja, Youhost Co. Ltd., SPSoft Inc. (KOSDAQ:A443670) and others for approximately KRW 470 billion. Macquarie Korea Opportunities Private Equity Limited Partnership No. 6, a fund managed by Macquarie Asset Management Pty Limited proposed to acquire 74.99% stake in GABIA, Inc. (KOSDAQ:A079940) from Hong Yong-ja, Youhost Co. Ltd., SPSoft Inc. (KOSDAQ:A443670) and others for approximately KRW 470 billion on July 20, 2026. A cash consideration of KRW 470.66 billion valued at KRW 48000 per share will be paid by Macquarie Asset Management Pty Limited and Macquarie Korea Opportunities Private Equity Limited Partnership No. 6. As part of consideration, KRW 470.66 billion is paid towards common equity of GABIA, Inc. In related transactions, Macquarie Korea Opportunities Private Equity Limited Partnership No. 6, a fund managed by Macquarie Asset Management Pty Limited will acquire stake in GABIA, Inc. from Kim Hong-kook, Jeon Jeong-wan, and Won Jong-hong through stock purchase agreements. Upon completion of the transactions, Macquarie Korea Opportunities Private Equity Limited Partnership No. 6, a fund managed by Macquarie Asset Management Pty Limited will own 100% of GABIA, Inc. The transaction will be financed through own funds of KRW 94.4 billion and borrowings of KRW 377.47 billion.
