Weihai Bank Co., Ltd. Announces Board Changes The board of directors of Weihai Bank Co., Ltd. (the Bank) announced that due to the age, Ms. LI Jie ("Ms. LI"), a non-executive Director of the Bank, has ceased to hold office as a non-executive Director of the Bank and from the relevant special committees of the Board. Her departure from office shall take effect on the date when a successor non-executive Director is elected by the employees' representative meeting of the Bank and such successor non-executive Director obtains the approval of office qualification issued by the National Financial Regulatory Administration Shandong Office (the "Shandong Financial Regulatory Office"). During such interim period, Ms. LI shall continue to discharge her duties as a non-executive Director of the Bank and a member of the relevant special committees of the Board. On July 23, 2026, the Bank convened the second meeting of the sixth session of the employees' representative meeting. At the meeting, the employees' representative meeting elected Ms. WANG Wenjing ("Ms. WANG") as an employees' representative to serve as a non-executive Director of the ninth session of the Board of the Bank to fill the vacancy arising from the departure from office of Ms. LI. Pursuant to the Articles of Association of the Bank, an employees' representative of the Board shall directly become a member of the Board upon his/her election by the employees of the Bank via the employees' representative meeting, the employees' meeting or other democratic election means. Hence, the term of Ms. WANG shall be effective from the date on which her qualification for directorship is approved by the Shandong Financial Regulatory Office to the date on which the term of the ninth session of the Board expires. Ms. WANG Wenjing, aged 40. Ms. WANG has served as the training director and dean of the training academy as well as general manager of the party working department of the Bank since May 2026. From October 2025 to May 2026, she served as the training director and dean of the training academy, general manager of the party working department and director of the labor union office of the Bank. From November 2023 to October 2025, she served as general manager of the party working department, dean of the training academy, and the director of the labor union office of the Bank. From June 2024 to October 2025, she concurrently served as a supervisor of the Bank. From July 2023 to November 2023, she served as general manager of the party working department and dean of the training academy of the Bank. From March 2019 to July 2023, she successively served as general manager of the party working department, general manager of the human resources department and director of the office of party committee of the Bank. From February 2017 to March 2019, she successively served as deputy general manager of the financial market department and deputy general manager of the party working department of the Bank. From July 2009 to February 2017, she successively served as an employee of Changfeng Sub-branch, an employee of the international business department, an employee of the retail banking department and the center manager of the financial market department of the Bank. Weihai Bank Co., Ltd. Approves Final Ordinary Dividend for the Year Ended December 31, 2025, Payable on July 30, 2026 Weihai Bank Co., Ltd. announced that the Profit Distribution Plan for 2025 has been considered and approved by the Shareholders at the Annual General Meeting (i.e., resolution numbered 3), and accordingly, the distribution of final cash dividend for 2025 of RMB10 (tax inclusive) per 100 shares was approved at the Annual General Meeting. Such dividend will be distributed on or around July 30, 2026 to Domestic Shareholders and H Shareholders of the Bank whose names appear on the register of members of the Bank on July 16, 2026. Dividend payable to H Shareholders shall be paid in Hong Kong dollar. The applicable exchange rate is HKD1 to RMB0.8696, being the prevailing exchange rate of the average of the median of exchange rate of RMB against HKD at the interbank foreign exchange market as published by the People's Bank of China for five working days preceding the date of declaration of the dividend at the Annual General Meeting (including the date of the Annual General Meeting). As such, the dividend of each 100 H Shares of the Bank is HKD11.4995 (tax inclusive).
