Visible Gold Mines Inc. (TSXV: VGD) acquired of a 51% interest in the Sakami property from Morocco Strategic Minerals Corp. (TSXV: MCC) for CAD 0.17 million.

Visible Gold Mines Inc. (TSXV:VGD) agreed to acquire Sakami Property from Morocco Strategic Minerals Corporation (TSXV:MCC) for CAD 0.52 Million on May 26, 2026. The consideration consists of 4 million common equity of Visible Gold Mines Inc. to be issued for assets of Sakami Property. The transaction is subject to customary closing conditions, including the acceptance of the TSX Venture Exchange. Eskar Capital Corporation acted as finder in connection with the transaction and will receive a finder’s fee equal to 4% of the transaction value. Visible Gold Mines Inc. (TSXV: VGD) completed the acquisition of a 51% interest in the Sakami property from Morocco Strategic Minerals Corp. (TSXV: MCC) on September 2, 2026, for a consideration of 1 million common shares of Visible Gold. As a part of consideration CAD 0.17 million worth of shares are issued. As part of the same agreement, Visible Gold was granted an exclusive option to acquire the remaining 49% interest in the property for an additional 3 million common shares on or before January 31, 2027. The total consideration for a 100% interest would be 4 million common shares. Upon acquiring the full 100% interest, Visible Gold will grant the seller a 1% net smelter returns (NSR) royalty on the property, which Visible Gold has the right to repurchase for $1 million. The consideration shares are subject to a statutory four-month and one-day resale restriction, as well as a voluntary three-year resale restriction with a staggered release schedule. Visible Gold became the operator of the property upon the closing of the initial 51% acquisition. The exercise of the option to acquire the remaining 49% interest is conditional upon receiving approval from the shareholders of Morocco Strategic Minerals Corp., which is expected to be sought at a meeting in December 2026. The entire agreement is subject to customary closing conditions, including final acceptance from the TSX Venture Exchange. Morocco Strategic Minerals Corp. stated the sale is consistent with its strategy to focus capital on its Moroccan exploration assets. Eskar Capital Corporation acted as a finder for the transaction and will receive a cash fee equal to 4% of the transaction value, including the value of the NSR, payable in two installments corresponding to the two closings.
