Cross River Ventures Corp. announced that it has received CAD 5.8 million in funding On July 28, 2026, Cross River Ventures Corp. closed the transaction. The company issued (i) 3,758,768 FT common shares at a price of CAD 0.325 per FT Share for gross proceeds of CAD 1,221,599.6 and (ii) 18,313,600 non-flow-through common shares at a price of CAD 0.25 per Non-FT Share for gross proceeds of CAD 4,578,400 for total aggregate gross proceeds of CAD 5,799,999.6. In connection with the Concurrent Financing, the Company paid certain arm’s length finders (each, a “Finder”) aggregate finder’s fees of CAD 118,803 in cash. All securities issued in the Concurrent Financing are subject to a hold period expiring four months and one day from the closing date of the Concurrent Financing in accordance with applicable securities laws and Exchange policies. Following closing of the Transaction, including the Concurrent Financing and the Option Grant, the Company has: (i) 45,353,041 common shares issued and outstanding; (ii) 6,500,000 common shares reserved for issuance upon exercise of 6,500,000 Scotia Lithium Share purchase warrants outstanding; and (iii) 1,175,000 common shares reserved for issuance upon exercise of 1,175,000 options outstanding. Cross River Ventures Corp. announced that it expects to receive CAD 5.8 million in funding Cross River Ventures Corp. has announced a non-brokered private placement to issue 4,615,384 Flow-through Shares at the price of CAD 0.325 per FT share for the gross proceeds of CAD 1,499,999.8 and 17,200,000 Non-Flow-through common shares at the price of CAD 0.25 per NFT share for the gross proceeds of CAD 4,300,000 for total aggregate of CAD 5,799,999.8 on July 15, 2026. All securities issued in the Concurrent Financing will be subject to a hold period expiring four months and one day from the closing date of the Concurrent Financing in accordance with applicable securities laws and Exchange policies. Closing of the Financing is expected to occur on or about July 27, 2026.
