STRYK Brands Inc. entered into a definitive business combination agreement to acquire Skycap Investment Holdings Inc. (CNSX:SKY) for CAD 42.3 million in a reverse merger transaction. STRYK Brands Inc. entered into a definitive business combination agreement to acquire Skycap Investment Holdings Inc. (CNSX:SKY) for CAD 42.3 million in a reverse merger transaction on July 8, 2026. The transaction values STRYK at approximately CAD 77 million (including the finder's fee) and Skycap at approximately CAD 11.54 million. STRYK shareholders will receive approximately 13.7 million post-consolidation Skycap shares (equivalent to approximately 1.411 billion pre-consolidation shares) based on an assumed financing price of CAD 5.64 per share and an exchange ratio estimated at 0.9153. Holders of STRYK convertible securities will receive equivalent Skycap shares under the same exchange ratio mechanism. In case of termination of transaction, STRYK Brands Inc. will pay a termination fee of CAD 0.25 million and seller will pay a termination fee of CAD 0.25 million. Upon closing of the Proposed Transaction, Skycap will adopt the business of STRYK and change its name to “STRYK Brands Inc".
Upon completion of the Proposed Transaction, it is anticipated that the board of directors and executive team of the Resulting Issuer will be comprised of a minimum of five directors, led by its founders Max Krangle (Chief Executive Officer and Director), James “Jay” Wilgar (President and Director) and Bryan Jones (Chief Corporate Officer and Director), together with Marchant Kuys, Steve Smith and any other nominees to be determined by STRYK.
Completion of the Proposed Transaction is subject to a number of conditions including, but not limited to, completion of the Consolidation, completion of the STRYK Financings, Skycap Shareholder approval and regulatory approvals, including approval of the Canadian Stock Exchange.
