Lode Gold Resources Inc. Announces the Resolution of A Contractual Dispute Against the Company and 1475039 B.C. Ltd Lode Gold Resources Inc. announced the resolution of a contractual dispute announced on February 13, 2026. A Notice of Claim was previously filed by a business partner against the Company and its former subsidiary, 1475039 B.C. Ltd. (now Gold Orogen Exploration Corp. and a wholly owned subsidiary of Gold Orogen Resources Corp. A settlement agreement has been entered into between the parties (the "Settlement"), whereby the Claim is being formally withdrawn and customary mutual releases provided between the parties relating to Claim matters. In addition, under the terms of the Settlement, the Company and it's former business partner will each invest $200,000 into Gold Orogen, subject to the approval and acceptance by the TSX Venture and Canadian Securities Exchanges, to bolster OROG's exploration programs. There are no other terms contained in the Settlement that materially affect Lode Gold. Simultaneous with the Settlement, it is anticipated Lode Gold will also enter into a shares-for-debt arrangement (the "Conversion Event"), subject to regulatory acceptance and approval, to settle certain amounts the Company is owed by Gold Orogen through the issuance of Gold Orogen shares. If the completion of the Settlement and the anticipated Conversion Event occur before Gold Orogen raises any additional capital, the Company would become a key shareholder along with the former business partner with both parties potentially holding an interest of up to 19.9% in Gold Orogen. Any further financing by Gold Orogen would dilute the Company's equity interest. The Company considers the litigation matter to now be fully resolved which will enable management and the entire Lode Gold team to again focus on advancing the Company's key business objectives. Gold Orogen Resources Corp Confirms Yukon Drill Targets for 2026 Field Program Gold Orogen Resources Corp. had received confirmation of its drill targets from recently re-interpreted geophysics that confirms the presence of an intrusion and Reduced Intrusion Related Gold Systems (RIRGS) coinciding with geochemical anomalies, as well as other targets. Final interpretation and planning is still underway, but early indications are that preliminary interpretation were correct and the proposed drill holes are placed over well-developed targets. At Border, surface samples grading up to 8.5 g/t Au, dense quartz veining, and strong hornfelsing all correlate with magnetic highs -strong indicators of a possible RIRGS system at depth. At Spine, stacked metre-wide veins extend along the same magnetic trend for 6 kilometres to Golden Culvert, indicating a long strike for potential exploration. At Stingray, sheeted veins with anomalous bismuth within a fault zone are textbook RIRGS. These are drill-ready targets in a high potential geological system that has generated millions of ounces of gold across Yukon in recent years. The Golden Culvert /WIN properties sit on the southern end of the Tombstone Belt which in recent years has seen extensive exploration success. It has Reduced Intrusion-Related Gold Systems (RIRGS) targets and sedimentary hosted orogenic mineralization. Over 4,500 m has been drilled with 50 gram meter intercepts. *Cautionary note: This is not a truth width calculation as the true attitude of the mineralized body is unknown at this time.
