Automata Rare Earth Corp. announced that it expects to receive CAD 3 million in funding Automata Rare Earth Corp. announced a non brokered private placement of (i) up to 4,545,455 non-flow-through units at a
price of $0.33 per Unit for gross proceeds of up to CAD 1,500,000.15 and (ii) a minimum of 2,222,223 units and maximum of up to 3,333,333 flow-through units (the "FT Units") at a price of CAD 0.45 per FT Unit for minimum gross proceeds of CAD 1,000,000.35 and maximum gross proceeds of CAD 1,499,999.85 for total aggregate gross proceeds of CAD 3,000,000 on July 14, 2026. Each Unit will consist of one common share of the Company and one common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share at an exercise price of CAD 0.475 for a period of 24 months from the date of issuance. Each FT Unit will consist of one flow-through common share of the Company and one-half of one common share purchase warrant. Each whole warrant will be exercisable to acquire one common share at CAD 0.475 for a period of 24 months following closing. The Company will have the right to accelerate the expiry of the warrants should the Company's common shares trade above CAD 0.55 on the Canadian Securities Exchange for ten consecutive trading days following the expiry of the statutory hold period, in accordance with the warrant terms. In connection with the Offering, the Company has entered into a finder's fee agreement with Research Capital Corporation ("Research Capital"). Subject to applicable securities laws and the policies of the Canadian Securities Exchange, the Company has agreed to pay Research Capital a cash commission equal to 8.0% of the gross proceeds raised from subscribers introduced by Research Capital and issue non-transferable finder's warrants equal to 8.0% of
the aggregate number of Units and FT Units sold to such subscribers. Each finder's warrant will entitle the holder to acquire one common share of the Company at the applicable Unit issue price for a period of 24 months from the closing date. The Offering is expected to close in one or more tranches, subject to customary closing conditions, including approval of the Canadian Securities Exchange. All securities issued pursuant to the Offering will be subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities laws. Announces Appointment of Alex Makrodimitras to Strategic Advisory Board Automata Rare Earth Corp. announced the appointment of Alex Makrodimitras to its newly established Strategic Advisory Board. Mr. Makrodimitras brought more than 22 years of service in the Canadian Armed Forces, including multiple leadership roles within the Canadian Special Operations Command. His experience spanned operational leadership, mission planning, capability development, defence procurement, and the deployment of advanced technologies within military environments. In addition to his military service, Mr. Makrodimitras founded Spicy Corp. in 2024, a defence technology company focused on secure communications solutions. He also served as a member of the Inturai Ventures Corp. Advisory Board, providing guidance and expertise related to government procurement opportunities, defence technologies, and strategic growth initiatives. Mr. Makrodimitras had extensive experience in defence materials, emerging technologies, and technology integration, with a strong understanding of the evolving requirements of modern military and national security organizations. His background included extensive experience working within highly specialized military environments where emerging technologies, operational readiness, and national security considerations were critical priorities.
