Taiyo Unleash Acrux Holdings, Lp, a fund managed by Taiyo Pacific Partners L.P. completed the acquisition of remaining 63.85% stake in Star Micronics Co., Ltd. (TSE:7718).
Taiyo Unleash Acrux Holdings, Lp, a fund managed by Taiyo Pacific Partners L.P. signed a letter of intent to acquire remaining 63.85% stake in Star Micronics Co., Ltd. (TSE:7718) on August 8, 2025. Taiyo Unleash Acrux Holdings, Lp, a fund managed by Taiyo Pacific Partners L.P. agreed to acquire remaining 63.85% stake in Star Micronics Co., Ltd. for ¥67.6 billion on August 12, 2025. A cash consideration valued at ¥2210 per share will be paid. The offer will be launched by Solsticia Corporation, a company incorporated for the purpose of the acquisition. The tender offer will commence on November 12, 2025 and will close on December 25, 2025. Taiyo has set the minimum number of shares to be purchased at 14,800,700 shares representing 30.52% in Star Micronics Co., Ltd. Taiyo Pacific Partners L.P will launch a squeeze out procedures if applicable on closing of the offer. Upon completion, Taiyo Pacific Partners L.P. will own 100% stake in Star Micronics Co., Ltd. The Tender Offeror anticipates that the Star Micronics Co., Ltd's current management team will continue to be involved in the Star Micronics Co., Ltd's management after the Transaction. Details regarding the Star Micronics Co., Ltd's management structure are expected to be determined in consultation with the Star Micronics Co., Ltd after the completion of the Tender Offer. The transaction will be financed through borrowing of ¥70.6 billion from The Shizuoka Bank, Ltd.
The transaction is subject to minimum tender, approval by the shareholders of Star Micronics Co., Ltd and consummation of due diligence investigation. The Board of Directors of Star Micronics Co., Ltd. formed a special committee for the transaction and expressed its opinion in support of the tender offer and recommend that its shareholders tender their shares in the Tender Offer.
