Fiducial Sofiral proposed to acquire remaining 0.2% stake in Fiducial Office Solutions (ENXTPA:SACI) for €0.15 million. Fiducial Sofiral proposed to acquire remaining 0.2% stake in Fiducial Office Solutions (ENXTPA:SACI) for €0.15 million on July 8, 2026. The acquisition by the Offeror of all the shares targeted by the Offer would represent, on the basis of the Offer Price per share of €36. The Offeror will finance the sums due in connection with the Offer from its own resources. To the extent that the minority shareholders do not hold more than 10% of the Company's share capital and voting rights, at the end of the Offer, a Squeeze-Out procedure will be implemented for all the Company's shares not held by the Offeror. In the context of the Squeeze-Out, the Company's shares not held by the Offeror will be transferred to the Offeror for compensation equal to the Offer Price, i.e. €36 per share, net of all costs. Fiducial Office Solutions shares will be delisted from Euronext Paris and the Luxembourg Stock Exchange on the day the Squeeze-Out takes effect.
This Offer is subject to French law. Any dispute or controversy, regardless of the subject matter or basis, relating to this Offer shall be brought before the competent courts. The expected completion of the transaction is October 23, 2026.
