Wingara AG Limited announced that it expects to receive AUD 0.25 million in funding Wingara AG Limited announced private placement of Unsecured Convertible loan for gross proceeds of AUD 250,000 on December 23, 2025. The transaction includes participation from entities associated with NAOS Asset Management Ltd. The loan facility attracts interest of 12% per annum, which accrues daily and is to be capitalized every three months. The loan facility repayment date is 31 December 2026 or such earlier date as the Borrower successfully completes a capital raising for an amount of not less than AUD1,000,000. The facility is not secured. The issue of Convertible Notes is subject to shareholder approval, which the Company will seek at its next general meeting. Subject to shareholder approval being obtained, the lender may convert Money Owing into convertible Notes. The loan facility is convertible into 12% interest bearing note with a face value of AUD 1 per note that matures on December 31, 2026. The Notes (together with capitalized interest) may be converted by the Noteholder into fully paid ordinary shares in the Company at any time up to their respective maturity date. Wingara AG Limited Announces Changes to its Board, Effective June 22, 2025 Wingara AG Limited advises that Mr. David Christie has notified the Board of his intention to resign as Chair and Non-Executive Director of the Company, effective June 22, 2025. Mr. Christie has been a Non-Executive Director of the Company since June 9, 2020, Chair since September 14, 2020, and has served on the Remuneration and Nomination Committee and Audit and Risk Committee. Wingara announced the appointment of Eric Jiang, who was a previous director of Wingara and is a corporate advisor to a number of companies. Additionally, Eric is currently a board member of ASX listed Wellnex Life Ltd. and has previously sat on the boards of ASX listed corporates Connexion Media Limited and Perpetual Resources Limited. He is a past President of The Chinese Community Council of Australia. In addition to the above changes, Marcello Diamante will take on the role of Executive Chair of Wingara. Board Change • Jan 20
