The purchase price was funded by the issuance of CAD 15 million of EIC common shares, equivalent to 25% of the purchase price, to the vendors and cash in the amount of CAD 45 million from the Corporation’s credit facility. MLT Aikins acted as legal counsel for EIC. EY Orenda Corporate Finance Inc. acted as financial advisor and McDougall Gauley acted as legal counsel to DryAir in connection with the transaction.Exchange Income Corporation (TSX:EIF) completed the acquisition of Dryair Manufacturing Corp. on October 5, 2023.

The purchase price of CAD 325 million was funded by the issuance of CAD 35 million of EIC common shares to the vendors and cash in the amount of CAD 290 million that was available from the corporation’s credit facility. The shareholders who are active management received the vast majority of the EIC common shares. In a related transaction, Exchange Income Corporation also acquired Advanced Paramedic Ltd. for CAD 15 million. Key members of the team have entered into long term contracts with common shares escrowed to their management contracts. The consideration will be paid in $3 million of EIC common shares to the vendor and cash in the amount of $58 million that was available from the Corporation's credit facility. In a related transaction, EIC entered an additional non-binding letter of intents to acquire three unrelated companies that will tuck-into and expand operations within its existing manufacturing and aviation segments. The combined deal value for all the transactions is $114 million. The transaction is subject to due diligence approval. The transaction is expected to close over the next ninety days.
