Zendesk drops on no apparent news amid private equity takeover

Zendesk (NYSE:ZEN), which agreed to be sold to Permira and Hellman & Friedman for $77.50/share in June, fell as much as 2.2% on what appeared to be no news. The  shares have now pared the decline to 0.7%. Zendesk is awaiting national security or CFIUS approval for its deal to be sold to the private equity firms. Zendesk (ZEN) holders voted to approve the deal in September. The transaction is expected to close in Q4. Zendesk didn't immediately return a Seeking Alpha email request for comment. M&A traders also noted unexplained weakness in deal name South Jersey Industries (SJ), which is being acquired by  Infrastructure Investments Fund. SJI fell 1.3%. Some risk arb traders speculated the weakness may related to the fallout in crypto to do potential liquidity issues with FTX.com.

What Is Zendesk Stock's Outlook After Acquisition?

Zendesk stock will be acquired for $77.50 per share. The company had previously rejected an offer of around $127 per share. The company is still growing at a strong 30% rate. The stock ironically looks more attractive if the deal falls apart. Zendesk (ZEN) does want to get acquired after all. After declining a takeout offer of around $127 per share earlier in the year, ZEN has agreed to be acquired for $77.50 per share. The discrepancy does need to be taken into context - tech stocks overall have been thrashed since February. In this report, I look at the company's key metrics and discuss what shareholders can look forward to moving forward. ZEN Stock Price ZEN peaked above $150 per share, rejected a takeout offer rumored to be between $127 and $132 per share in February, and crashed as low as $54 per share. Data by YCharts The stock has since traded up very close to the $77.50 per share acquisition price. ZEN Stock Key Metrics ZEN has been a consistent grower in the enterprise space, with revenues growing 30% in the latest quarter. While ZEN is not yet profitable on a non-GAAP basis, it has generated non-GAAP profits including a 5.2% non-GAAP operating margin in the latest quarter. ZEN has guided for the next quarter to see 30% revenue growth and for the full year to see up to 27.7% revenue growth. ZEN has been able to power its consistent growth through impressive net expansion rates that stood at 121% in the latest quarter. 2022 Q1 Shareholder Letter ZEN had $1.6 billion of cash and marketable securities versus $1.1 billion of convertible notes. The convertible notes mature in 2025, carry a 0.625% interest rate, and are convertible at a price of $164.17 per share (net of capped call transactions). The low interest cost of the debt plus the overall net cash position highlight the strong balance sheet position. Who Acquired Zendesk? On June 24, 2022, ZEN announced that it was being acquired by an investor group led by Permira and Hellman & Friedman LLC ("H&F") in an all-cash transaction valued at $10.2 billion - equating to a purchase price of $77.50 per share. That deal represented a 34% premium to where ZEN traded the day prior to the announcement. How Will Acquisition Impact ZEN Investors? If the deal is completed, then ZEN shareholders stand to receive $77.50 per share in cash. With the stock currently trading around $74.71 per share, shareholders might be able to earn a 3.7% return if held through completion. ZEN shareholders still need to vote on the deal, which some might feel has some chance of losing approval due to the fact that the company previously had an offer in the $127 range. But that offer was in February, and since then, many other tech stocks besides ZEN have fallen by a large magnitude as well. What Is The Future Of Zendesk? I see two paths forward for the stock. The more obvious path is for shareholders to approve the deal - at around 5.5x sales, the purchase price looks reasonable considering where other tech names trade.

Zendesk to be acquired by an investor group led by investment firms Permira and Hellman & Friedman in an all-cash transaction valued at approximately $10.2 billion. Zendesk: Attractive Valuation If The Company Moderates Stock-Based Compensation

Zendesk is an attractive business growing at a rapid pace and with a narrow competitive moat derived from the high switching costs for its products. To become more attractive, the company has to improve its cost controls, in particular stock-based compensation. According to our net present value estimation, shares are somewhat undervalued, but that assumes stock-based compensation is moderated.

Zendesk: A Compelling Long-Term Growth Play

Zendesk is a high-growth company developing customer engagement solutions software. In the long term, the company’s revenue is expected to grow at a CAGR of 12%. The company’s shares have significant upside left driven by its strong growth drivers.

Zendesk: A Clear Uptrend Is Forming

Shares of Zendesk have rallied ever since reporting strong Q4 results and receiving unsolicited bids for a takeover by private equity. The reported offer was said to be between $127-$132 per share in all cash, which Zendesk rejected. Investor sentiment continues to be mixed against the company's own proposed takeover of Momentive (formerly known as SurveyMonkey). Fundamentally, Zendesk is doing quite well, with revenue growth north of >30% y/y despite its scale. Its valuation at just over ~8x 2022 revenue leaves room for upside considering its pace of growth.

Zendesk: Time To Buy The Dip

Shares of Zendesk have dropped 37% over the past year. The company remains one of the premier names in customer-service software, and its >30% y/y revenue growth reflects that strength. Zendesk is continually moving upmarket with its new focus on its Suite offering, which has driven a record contribution to overall revenue from enterprise clients. One major overhang is the company's all-stock proposed acquisition of Momentive (SurveyMonkey), which activist investors have opposed. Zendesk is trading at an attractive

Zendesk - An Update Heading Into 2022

Zendesk has seen continued growth in a rather steady fashion. Nearly a decade after the public offering, the company has not yet been able to post breaking-even results. The SurveyMonkey deal has been a wild card late in 2021, still creating a near-term uncertain outlook for the shares.

Zendesk: Attractive Investment Opportunity Regardless Of Momentive Acquisition

Zendesk had a stable growth rate in its revenue in recent years. Since 2014, its stock has performed very well, as it reached its maximum price at $158 per share on 5 February 2021. However, the recently announced acquisition of Momentive Global Inc. pushed down the stock price of Zendesk. Stockholders of Momentive Global may find terms of this acquisition deal unattractive. In this case, we expect a sharp increase in the Zendesk stock price. If the acquisition succeeds, the effect of a synergy will significantly improve the operating efficiency of Zendesk.

Zendesk: Well Into Correction Territory, Investors Are Too Gloomy Here

Zendesk is a vendor for customer service and customer support teams. Meanwhile, its pending acquisition of Momentive Global has weighed down its stock. Zendesk is now well into correction territory, with the stock down more than 30% in its year-to-date performance. Its Analyst Day points to approximately 27% CAGR between now and 2025. At approximately 7x forward sales, this SaaS stock is already pricing in a lot of negativity.

Merger Arbitrage Mondays: Zendesk Shareholders Unhappy About Momentive Deal

Zendesk: 2 Things Make This Stock A Strong Buy

As we approach the Q3-21 earnings announcement later this month, two key trends stand out as supporters for a strong investment case. The first is the year-over-year revenue growth turnaround over the past two quarters. The second is the leverage at the top from increased expenditure on sales and marketing over the same period. These trends are likely to have continued through Q3-21 and could grow even stronger by the end of FY-21. In the meantime, the stock is not as expensive as one might assume, as this analysis shows.
Seeking Alpha Jul 31

Zendesk: The Crash Reflects An Overfull Valuation

Shares of Zendesk plummeted more than 10% after reporting Q2 results. Though revenue growth accelerated, weaker prior-year comps were partially responsible. Revenue came in lower than Wall Street expected. Heightened sales and marketing expenses also hurt operating margins. Zendesk's correction despite a quarter that wasn't perfect, but not altogether terrible, reflects the fact that the stock has hit a near-term valuation ceiling.
