Earthasia Worldwide Holdings Limited entered into a Letter of Intent to acquire Network CN Inc. (OTCPK:NWCN) in a reverse merger transaction. Earthasia Worldwide Holdings Limited entered into a Letter of Intent to acquire Network CN Inc. (OTCPK:NWCN) in a reverse merger transaction on January 20, 2020. On July 23, 2020, Share Exchange Agreement has been signed. As per the terms of transaction, Earthasia will receive ordinary shares of NWCN. NWCN will allot and issue 49 million new shares to Earthasia and upon completion Earthasia will hold 78% stake in NWCN. Received shares is subject to valuation basing on audited financials of Earthasia. Upon completion of the acquisition, all officers, except the acting Chief Financial Officer and directors of the Company will stay with and appoint new officers and directors of Network CN as instructed by Earthasia. The transaction is subject to execution of definitive agreement, regulatory approvals and third-party consents. Completion shall take place on September 2, 2020.
