Ceres Inc. (TSE:3696) acquired 19.14% stake in CyberBuzz, Inc. (TSE:7069) from Digital Garage, Inc. (TSE:4819). Ceres Inc. (TSE:3696) acquired 19.14% stake in CyberBuzz, Inc. (TSE:7069) from Digital Garage, Inc. (TSE:4819) on June 30, 2025. As a result of this transfer, Digital Garage will no longer be one of our other affiliates or major shareholders. Masashi Tanaka, who was appointed from Digital Garage as an outside director of the Company, will resign as of June 30, 2025 in connection with this transfer.

(TSE:3696) signed a contract to acquire M Corporation from Yoshifumi Takeda and Takao Shino on June 27, 2025. As part of the acquisition, Ceres Inc. will acquire 200 shares or 100% stake in M Corporation. The sellers, Yoshifumi Takeda and Takao Shino will sell 50% each. Upon completion, M Corporation will operate as a subsidiary of Ceres Inc. For the period ending December 31, 2024, M Corporation reported total sales of ¥27.7 billion, operating profit of ¥2.2 billion, ordinary profit of ¥2.7 billion and EBITDA of ¥3.2 billion. Ceres Inc. Revises Earnings Guidance for the Fiscal Year Ending December 31, 2025 Ceres Inc. revised earnings guidance for the Fiscal Year Ending December 31, 2025. For the year, The company expects net sales of JPY 28,400 million, operating profit of JPY 6,050 million, profit attributable to owners of parent of JPY 3,350 million and earnings per share of JPY 291.04 against previous guidance of net sales of JPY 30,700 million, operating profit of JPY 3,000 million, profit attributable to owners of parent of JPY 2,100 million and earnings per share of JPY 182.44. Reasons for the revision: As announced in the ""Notice Concerning Change of Consolidated Subsidiary (Share Transfer) and Recording of Extraordinary Income" dated May 8, 2025, and the "(Update on Previously Disclosed Information) Completion of Transfer of Shares of Consolidated Subsidiary" dated May 30, 2025, the Company has transferred all of its shares in YUMEMI. As a result, YUMEMI is scheduled to be excluded from the Company's scope of consolidation as of the second quarter of the fiscal year. Accordingly, the Company has revised its full-year consolidated earnings forecast by excluding YUMEMI's earnings outlook for the third quarter and beyond. In addition, the Company expects to record an extraordinary gain of approximately ¥2.3 billion on a consolidated basis and approximately ¥3.2 billion on a non-consolidated basis from the sale of shares of an affiliated company.
