Appoints Alonso Sotomayor as Chief Financial Officer DynaResource, Inc. announced the appointment of Mr. Alonso Sotomayor as Chief Financial Officer of the Company, effective immediately. Mr. Sotomayor is an experienced mining executive, bilingual in English and Spanish with over 15 years of progressive professional experience in public accounting and financial reporting in the Mining sector. Mr. Sotomayor started his career in a mining-specific role with accounting firm McGovern Hurley LLP, followed by progressively senior roles in the Toronto Mining Groups at KPMG and Deloitte Canada overseeing files on numerous Canadian listed mining companies. Since 2017, Mr. Sotomayor has held the position of Corporate Controller of Ascendant Resources Inc. and Corporate Controller of Cerrado Gold Inc. since 2020. He was also Chief Financial Officer of Voyager Metals, Inc. from November 2019 to May 2023, when it was acquired by Cerrado Gold, Inc. DynaResource, Inc. Announces Board Changes DynaResource, Inc. announced that it has appointed Dr. Quinton Hennigh and Mr. Brent Omland as Directors to the Board of Directors of the Company; and that the Company accepted the resignations of Dr. Jose Vargas Lugo and Mr. Ronald Vail from the Company's Board of Directors in order to make the two Board Seats available. The appointments and resignations are effective February 16, 2024. Dr. Vargas Lugo will remain in his position with the Company as Director of Operations - Mexico, and Mr. Vail will become a non-voting Board observer. Dr. Hennigh is an exploration geologist with 33 years' experience, predominantly in the gold industry. He holds a M.Sc. and Ph.D. in geology and geochemistry from the Colorado School of Mines. Early in his career, he explored for gold for major mining companies including Homestake Mining Company, Newcrest Mining Ltd., and Newmont Mining Corporation. Beginning in 2007, Dr. Hennigh shifted focus to the junior mining space where he has worked for several successful gold explorers, notably Gold Canyon Resources where he led the discovery of the 5.2 million ounce Springpole gold deposit, Ontario. Currently, Dr. Hennigh is Technical and Geologic Director to Crescat Capital and is CEO of private miner, San Cristobal Mining. Mr. Omland was elected to serve as a Director pursuant to the terms of the Stock Purchase Agreement (the "Stock Purchase Agreement") dated August 2, 2023, by and between the Company and Ocean Partners Holdings Limited ("Ocean Partners"). Mr. Omland is the Co-CEO of Ocean Partners, which purchases substantially all the gold produced by the Company pursuant to that certain Gold Concentrate Purchase Agreement dated February 1, 2021, as amended, by and between the Company's affiliate, DynaResource de Mexico, SA de CV ("DynaMéxico'), and an affiliate of Ocean Partners, MK Metal Trading Mexico SA de CV. Mr. Omland is a mining executive with 20 years of experience in the mining and metals trading industry. Mr. Omland is a graduate of the University of British Columbia and a Canadian CPA. Mr. Omland has also worked in finance roles for Teck Resources and in senior finance roles for an integrated lead mining and smelting group based in Australia (Ivernia/Enirgi Metals). Dynaresource, Inc. Announces Board Changes DynaResource, Inc. announced that Mr. Pedro Ignacio Teran Cruz has resigned as Board of Directors effective July 5, 2022, for personal reasons. Mr. Teran Cruz will continue to serve the Company as its Exploration Manager and Chief Geologist. Rene López Felix Mladosich, the current General Manager at the San José de Gracía gold project, has been appointed to fill the vacancy on the Board of Directors of the Company occasioned by the resignation of Mr. Teran Cruz. Mr. Mladosich will serve on the Board of Directors for the unexpired portion of Mr. Teran Cruz’s term of office, that is, until the next annual meeting of stockholders, anticipated to occur later in fiscal year 2022. Mr. Teran Cruz was originally elected to the Board of Directors of the Company by the holder of all of the issued and outstanding shares of Series A Preferred Stock of the Company, and accordingly, the vacancy has been filled by an appointment signed by the holder of all of the issued and outstanding shares of Series A Preferred Stock of the Company. Mr. Mladosich brings over 30 years of direct experience in the mining industry in Mexico to DynaResource. He has worked for companies such as Campania Mineras de Cananea, Campania Minera Hecla (Hecla Mining), Campania Minera Pangea, Campania Minera Dolores (Minefinders), Minera Alamos de Sonora, and Campania Minera Pena de Bernal (Starcore International Mines). Mr. Mladosich has also provided consulting services to companies such as Minefinders, Pan American Silver and Scorpio. Mr. Mladosich is a proven and successful manager in Mexico with experience in the following areas: general management, underground and open pit operations, process plant recovery and optimization, construction, exploration, logistics, permitting, environmental, and plant and pit design. Mr. Mladosich holds a B.S. degree from the University of Sonora, where he was awarded First of the Class 6 times; and Mr. Mladosich studied 1 year of metallurgy in the Master’s Degree work program at the University. Mr. Mladosich speaks fluent Spanish and English and has studied French under the French Embassy Program in Mexico.
