BevPoint Capital LP entered into an agreement and plan of merger and reorganization to acquire Okmin Resources, Inc. (OTCPK:OKMN) for $26.4 million in a reverse merger transaction. BevPoint Capital LP entered into an agreement and plan of merger and reorganization to acquire Okmin Resources, Inc. (OTCPK:OKMN) for $26.4 million in a reverse merger transaction on January 29, 2026. At the effective time of the merger, all interests in BevPoint will be converted into the right to receive an aggregate of 220,000,000 shares of Okmin common stock, representing approximately 55.6% of the post-closing outstanding shares. Upon the Surviving Entity reaching certain milestones, the holders of Company Interests shall be entitled to distributions of Okmin Common Stock as follows, with revenue and EBITDA calculated on a consolidated basis in accordance with GAAP: 75,000,000 shares upon reaching $10 million revenue, 75,000,000 shares upon reaching $1 million EBITDA, 75,000,000 shares upon reaching $20 million revenue, and 75,000,000 shares upon reaching $2 million EBITDA. The surviving entity will be renamed BEVPT Operations Inc.
Chris Sellers will be appointed as CEO of Okmin and Chris Sellers and John F. Giarrante will be appointed as directors, with current officers and directors tendering their resignations except Jonathan Herzog who will remain as a director.
The transaction is subject to approval of merger agreement by target board, approval of offer by target shareholders, consummation of due diligence investigation, conversion of preferred stock, and minimum balance sheet requirements. The expected completion of the transaction is March 31, 2026.

O'Brien to Its Newly Established Advisory Board Okmin Resources, Inc. announced that it has established an Advisory Board to include seasoned professionals and industry experts to assist in the development of the Company and that it has appointed Dr. John N. OBrien as its Senior Advisory Board Member. Dr. John N. OBrien brings over forty-five years of experience in the energy business as an energy industry thought leader and an expert in the analysis of economics, regulation and technology in important and emerging energy issues. Dr. OBrien is a former Commissioner on the Florida Energy Commission and Chair of its Climate Change Subcommittee. Dr. OBrien previously served for 10 years as a Full Scientist at the U.S. Department of Energys Brookhaven National Laboratory in its Department of Nuclear Energy after that and was CEO of several significant energy firms. Currently the President and CEO of Vista Consulting Group, Dr. OBriens areas of expertise include: the regulation and functioning of the electric and natural gas markets and related infrastructure; renewable energy technologies and investment; financial analysis and project finance in the energy sector; applications for small modular nuclear reactors; and other emerging energy technologies. Dr. OBrien is also a Professor of Public Administration at Flagler College.
