Schneider Electric S.E. (ENXTPA:SU) entered into a definitive agreement to acquire Cognite AS from Aker ASA (OB:AKER) and others for an enterprise value of $3.5 billion. Schneider Electric S.E. (ENXTPA:SU) entered into a definitive agreement to acquire Cognite AS from Aker ASA (OB:AKER) and others for an enterprise value of $3.5 billion on June 30, 2026. Under the terms of the agreement, Schneider Electric will acquire 100% of Cognite AS share capital in an all-cash transaction. The estimated cash proceeds to Aker ASA including settlement of outstanding convertible loan is $1.48 billion (NOK 14.7 billion). The transaction considerably strengthens Aker’s financial position and investment capacity. Upon completion, Cognite will be integrated with AVEVA and will be fully consolidated and financially reported within Schneider Electric’s Industrial Automation business. Together, Cognite and AVEVA will form a unified platform built for the next phase of intelligence for industrial AI. For the period ended December 31, 2025, Cognite AS reported a revenue of $170 million.
The transaction remains subject to customary closing conditions, including the receipt of required regulatory approvals. The transaction is expected to be completed in the coming quarters.
